Transactions

Andrew Malone advises businesses and investors on Commercial Real Estate and Corporate transactions.  He frequently represents clients in all aspects of Commercial Real Estate acquisitions, dispositions and leasing.  He also focuses his practice on Mergers and Acquisitions (M&A) for both Sell side and Buy side.  Through his counsel and planning, he strives to add significant value to his clients' transactions and ongoing business operations.  He serves as outside general counsel for manufacturing, real estate investment, logistics, and software companies, where he handles their corporate, real estate and employment matters.  For the firm's Trusts and Estates practice, Andrew prepares and implements various trusts and other planning documents and represents fiduciaries in Probate and private Trust administration. 

Some recent transactional representative matters include: representing the Buyer in the acquisition of a large business and related real estate; negotiating and advising on complex acquisition financing for various transactions; representing the Buyer in the purchase of a specialized manufacturing company; representing the Seller in the disposition of a distribution line of business; representing an Investor in acquisitions of multiple industrial properties as part of Section 1031 like-kind exchanges; representing an investor in the disposition of multiple apartment buildings; representing a corporate Trustee in the sale of commercial real estate;  representing an investor in purchases of retail and industrial out of state properties; representing a landlord in lease negotiations with Fortune 500 tenants; and preparing and implementing buy-sell and recapitalization transactions for multiple closely-held businesses.  

Litigation

In addition to his transactional practice, Andrew advocates on behalf of his clients to resolve litigation matters in state and federal courts by strategic negotiations or trial.  Of particular note have been successful resolutions of complex Trust and Probate litigation, shareholder disputes and "bet the company" lawsuits.  He has been recognized by Best Lawyers® for the 2023 and 2024 rankings for Commercial Litigation in Cleveland.

Some recent representative cases include: the successful resolution of a shareholder dispute involving a close corporation and multiple cases and appeals; the successful prosecution of a large and complex Trust controversy involving undue influence; the successful defense of a Trust dispute where the claims involved undue influence, and where the plaintiffs paid a settlement to the defendant clients; representing developers and investors in commercial real estate litigation; and obtaining a favorable jury award in a construction breach of contract and fraud case.

Background

Andrew was admitted to practice in all Ohio courts in 2005 and admitted to the U.S. District Court, N.D. of Ohio in 2006. Andrew spent the first years of his career as a Staff Attorney assisting in civil litigation review at the Cuyahoga County Common Pleas Court before joining Malone Law, LLC in 2008.
